FIELD
ANALYTICAL SERVICES
Sterling
Capital provides thorough and objective analysis for companies
seeking capital, mergers / acquisitions and exiting
transactions. Sterling
Capital recognizes the complexity and difficulty for small
businesses to prepare for these kinds of events. Since
every business’s management and ownership may not have readily
prepared transactional documentation, Sterling Capital partners
travel to the prospective client to facilitate the transaction
and obtain needed documents on sight.
The
purpose of conducting the in depth analysis meeting or business
survey is to ascertain the scope of the transaction during an
intense evaluation period.
Physical evaluation of property, plant and equipment
along with observation of the operating business are critical.
The process begins with an opening meeting which takes
approximately 1.5 hours; the analysis portion can range from a
half day to one day depending upon the business complexity; and,
the process is closed with a findings meeting.
Prospective client time will probably not exceed 2.5
hours all day.
The
types of documents that should be available for review are as
follows:
·
Past
Three Years Financial Statements
·
Past
Three Years Tax Returns
·
Business
Plan
·
Policy
and Procedures Manual
·
Brochures
·
Operating
Budgets
·
Marketing
/ Sales Plans
·
Any
other documents that you feel are pertinent to the transaction
These
documents listed above are guidelines for a thorough analysis,
but are not set in stone.
Senior
partners typically complete the field analysis survey in one to
1.5 days.
